Terms of Use

This document has been prepared for internal review and has not yet been reviewed by external legal counsel. External counsel review is required before public launch.

These Terms of Use govern your access to and use of the Tier website (tier.partners), the seller portal (app.tier.partners), and the API (api.tier.partners). By accessing any part of the Tier platform, you agree to these terms.

1. Acceptable use

You may use the Tier platform only for lawful purposes and in accordance with these Terms. You agree not to:

Access the platform through automated means except as permitted by Tier's published API.
Attempt to circumvent authentication, rate limits, or access controls.
Interfere with the operation of the platform or other users' access.
Publish, share, or display another user's personal information without their consent.
Use the platform to transmit spam, malware, or other harmful content.
Misrepresent your identity or affiliation with Tier.

2. Account security

You are responsible for maintaining the confidentiality of your account credentials. You must notify Tier immediately of any unauthorized access to your account. Tier is not liable for losses resulting from unauthorized access due to your failure to protect your credentials.

3. Content

You retain ownership of content you submit to the platform. By submitting content, you grant Tier a non-exclusive license to use, store, and display that content as necessary to provide the service. Tier may remove content that violates these Terms at its sole discretion.

4. Intellectual property

The Tier name, logo, and platform software are the intellectual property of Tier Partners. You may not use them without prior written permission except as permitted by applicable law.

5. Disclaimer of warranties

The Tier platform is provided "as is" without warranties of any kind. Tier does not warrant uninterrupted or error-free operation. Use of the platform is at your own risk.

6. Limitation of liability

To the maximum extent permitted by law, Tier's liability for any claim arising from use of the platform is limited to the amount you paid to Tier in the 12 months preceding the claim (which, since joining is free, may be zero).

7. Modifications

Tier may update these Terms at any time. We will post updated Terms with a new effective date. Continued use of the platform after the effective date constitutes acceptance.

8. Termination

Tier may suspend or terminate your access to the platform at any time for violation of these Terms or for any other reason at its sole discretion.
