Seller Agreement
This Seller Agreement ("Agreement") is entered into between Tier Partners ("Tier," "we," "us") and the individual or entity applying to participate in the Tier seller network ("you," "Seller"). By submitting an application and accepting this Agreement during the application process, you agree to be bound by all terms herein.
1. Eligibility
You must be at least 18 years of age and legally authorized to work as an independent contractor in your jurisdiction. Tier may decline any application at its sole discretion without providing a reason.
2. Independent Contractor Status
You are an independent contractor, not an employee, agent, or partner of Tier. You are solely responsible for all taxes, insurance, and benefits applicable to your earnings. Nothing in this Agreement creates an employment relationship.
3. No Purchase Required
Joining Tier as a Seller is free. Tier does not require, and expressly prohibits, any payment from Sellers as a condition of joining or remaining in the network. If you are asked to pay money to join, contact us immediately.
4. Compensation
Tier operates a multi-level (network-marketing) compensation plan. Your earnings scale with the sales generated by you and by the network of sellers you personally enroll and support. Income is not guaranteed; most sellers earn little, and some earn nothing. See the Income Disclosure Statement for live earnings data drawn from actual seller records.
4.1 Primary income — resale spread; flat wholesale pricing
Your primary source of income is the resale spread: you buy virtual in-game items from Tier at wholesale and resell them on your own marketplaces, keeping the difference. This spread is yours and is not paid by Tier.
Wholesale pricing is flat: every Seller purchases at the same wholesale price, regardless of order history, purchase volume, or the activity of anyone they enroll. Tier does not operate any volume-based purchase-discount program. The former "Tier Ladder" purchase-discount program was retired effective July 1, 2026 and confers no ongoing benefit.
Purchases are made as packages of $500 to $5,000,000 per order, priced at 40% of each item's suggested retail value. Any statement that a package contains "2.5× its price in resale value" refers to suggested retail value only: it is a market reference, not a return. Tier does not repurchase inventory, does not remit or share resale proceeds, and makes no representation that any item will resell at any price or at all. The Seller performs all reselling personally and bears all market risk. Packages are inventory for resale — they are not investments and confer no right to any payment from Tier.
The wholesale price is what you pay. It is not a payout from Tier and is not part of the affiliate compensation described below.
4.2 Affiliate compensation
In addition to the resale spread, Tier pays affiliate compensation tied to product sales within your network. Total affiliate payout across all mechanics below is capped at 20% of commissionable volume. Affiliate compensation is paid on completed, non-refunded product sales — never for the act of recruiting or enrolling a seller.
- Direct Referral Bonus — 5%, one-time. When a seller you personally referred places and pays for their first order, you receive a one-time bonus equal to 5% of that order's commissionable volume. This bonus is paid once per referred seller.
- Leadership Pools — 10% total, paid as five 2% rank pools. A combined 10% of commissionable volume funds five equal 2% pools, one for each leadership rank: Builder, Director, Executive, Ambassador, and Founder. Each pool is split evenly among the sellers who hold that rank and meet monthly maintenance. Ranks are earned on downline metrics — both the count of active personally-enrolled sellers and group/team sales volume:
- Builder: 3 active personally-enrolled sellers and $10,000 group volume.
- Director: 10 active personally-enrolled sellers and $50,000 group volume.
- Executive: 25 active personally-enrolled sellers and $150,000 group volume.
- Ambassador: 50 active personally-enrolled sellers and $500,000 group volume.
- Founder: 100 active personally-enrolled sellers and $1,000,000 group volume.
- Company Bonus Promotion — discretionary, up to 5%. From time to time Tier may fund a discretionary bonus of up to 5% of commissionable volume, split among ranked sellers. This bonus is not guaranteed and may be offered, reduced, or withheld at Tier's sole discretion.
No compensation is paid for recruiting or enrolling a seller into the network. All affiliate compensation accrues only on completed, non-refunded product sales, and total affiliate payout never exceeds 20% of commissionable volume.
5. Refunds and Reversals
If a sale is refunded, commissions attributed to that sale are reversed. Partial refunds result in proportional commission adjustments. Reversed commissions reduce your eligible balance for the period in which the reversal occurs.
6. Payouts
Payout periods close on the first day of each calendar month. You must have a valid payout method on file in your dashboard. Tier will process payouts within a reasonable time after period close. Tier reserves the right to withhold payments pending investigation of suspected fraud or policy violation.
7. Conduct
You may not make false or misleading income claims. You must direct prospective applicants to the official income disclosure page. You may not represent yourself as an employee or official representative of Tier. You must comply with all applicable laws regarding advertising, solicitation, and consumer protection.
8. Termination
Either party may terminate this Agreement at any time. Upon termination for cause, any unpaid balance is forfeited to Tier. Termination for any other reason will result in payment of earned commissions from completed periods prior to termination.
9. Modifications
Tier may update this Agreement at any time by posting an updated version to this page with a new effective date. Continued participation constitutes acceptance of the updated terms.
10. Governing Law
This Agreement is governed by applicable law. Disputes are subject to binding arbitration in lieu of class action litigation, except where prohibited by law.
