Independent Contractor Agreement
This Independent Contractor Agreement ("Agreement") governs the relationship between Tier Partners ("Tier") and each approved Seller ("Contractor"). By accepting this Agreement during the application process, you acknowledge the terms below.
1. Nature of relationship
You are an independent contractor. You are not an employee, agent, partner, or joint venturer of Tier Partners. This Agreement does not create any employment relationship. Tier has no obligation to provide you with a minimum amount of work or income.
2. Control and autonomy
You have full control over the time, place, and manner in which you perform sales activities. Tier does not direct your daily work, set your hours, or require you to use specific sales methods, except as necessary to comply with applicable law and Tier's conduct policies.
3. Tax responsibility
You are solely responsible for all taxes on income earned through the Tier platform, including self-employment taxes, income taxes, and any applicable state or local taxes. Tier will issue required tax documents (e.g., Form 1099) in accordance with applicable law. You are responsible for maintaining records sufficient to complete your tax returns.
4. Benefits
As an independent contractor, you are not entitled to any employee benefits from Tier, including health insurance, retirement plans, paid leave, workers' compensation, or unemployment insurance.
5. Equipment and expenses
You are responsible for providing your own equipment, tools, and any other resources needed to perform sales activities. Tier does not reimburse expenses incurred in the course of your independent contractor activities unless agreed to in writing.
6. Representations
You represent that you are legally authorized to work as an independent contractor in your jurisdiction, that you will comply with all applicable laws in conducting your sales activities, and that you will not represent yourself as an employee or agent of Tier.
7. Indemnification
You agree to indemnify and hold Tier harmless from any claims, losses, or liabilities arising from your sales activities, your tax obligations, or your violation of this Agreement.
8. Termination
Either party may terminate this Agreement at any time, with or without cause. Termination does not affect any commissions earned prior to termination from completed, non-reversed sales.
